IMPORTANT LEGAL NOTICE: PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING THIS WEBSITE OR PURCHASING ANY PRODUCT.

THESE TERMS CONTAIN A MANDATORY BINDING ARBITRATION AGREEMENT, A CLASS ACTION AND REPRESENTATIVE ACTION WAIVER, LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES, AND OTHER PROVISIONS THAT AFFECT YOUR LEGAL RIGHTS.

BY AFFIRMATIVELY ACCEPTING THESE TERMS, INCLUDING THROUGH AN APPLICABLE CHECKOUT ACCEPTANCE PROCESS, YOU AGREE TO BE BOUND BY THEM. MERELY VISITING THE WEBSITE DOES NOT NECESSARILY ESTABLISH CONTRACTUAL ASSENT WHERE APPLICABLE LAW REQUIRES MORE.

1. AGREEMENT TO TERMS

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding agreement between you, individually or on behalf of an entity (“Customer,” “User,” “you,” or “your”), and Innerthera L.L.C. , doing business as InnerThera (“InnerThera,” “Company,” “we,” “our,” or “us”).

InnerThera operates https://www.innerthera.com and associated websites, online storefronts, customer accounts, subscription services, digital communications, and related services (collectively, the “Site” or “Services”).

InnerThera is headquartered in the State of Delaware, United States.

By affirmatively accepting these Terms, including by selecting an acceptance checkbox or completing a purchase through a checkout process that clearly presents these Terms and requires an affirmative manifestation of assent, you acknowledge and agree that:

  • You have read and understand this Agreement.

  • You voluntarily accept its legally binding provisions.

  • You understand that Section 18 requires individual arbitration of covered disputes.

  • You understand that Section 18 contains a waiver of class, collective, and representative proceedings to the extent permitted by law.

  • You acknowledge the disclaimers and limitations of liability contained herein.

  • You agree to comply with applicable laws and these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCEPT THEM OR COMPLETE A PURCHASE SUBJECT TO THEM.

Additional policies expressly incorporated by reference include our Privacy Policy, Shipping Policy, Return and Refund Policy, and applicable Subscription Terms.

In the event of a conflict between these Terms and a more specific policy, the more specific policy shall control with respect to its subject matter, except where expressly stated otherwise.

InnerThera reserves the right to modify these Terms. Material changes will be communicated as required by applicable law. Revised Terms shall not retroactively govern previously accrued disputes or transactions unless a legally valid agreement provides otherwise.

The Site and products are intended for individuals aged eighteen (18) years or older.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, all website content, including source code, databases, software, product descriptions, photographs, graphics, trademarks, logos, marketing materials, educational materials, videos, designs, and written content, is owned by, controlled by, or licensed to InnerThera.

Such materials are protected by applicable federal and state copyright, trademark, intellectual property, and unfair competition laws.

No portion of the Site may be reproduced, distributed, modified, republished, commercially exploited, or used to create derivative works without prior written authorization, except where permitted by law.

InnerThera grants customers a limited, revocable, nonexclusive, nontransferable license to access the Site for lawful personal use.

Unauthorized commercial exploitation may result in termination of access and appropriate legal remedies.

All rights not expressly granted are reserved.

3. USER REPRESENTATIONS AND WARRANTIES

All information submitted in connection with an account, transaction, or communication is accurate and complete.

You will comply with all applicable federal, state, and local laws.

You will not interfere with Site functionality, security, or operations.

You will not use products or services for unlawful purposes.

You acknowledge that product information is not a substitute for individualized medical advice.

You understand that nutritional supplements may produce different experiences among individuals and that no specific result is guaranteed.

InnerThera may refuse transactions or restrict accounts for legitimate reasons, including fraud, security concerns, legal restrictions, and material violations of this Agreement.

4. USER REGISTRATION AND ACCOUNT SECURITY

Customers may create accounts to access order histories, manage subscriptions, save preferences, and use other services.

Customers are responsible for maintaining the confidentiality of their login credentials and notifying InnerThera promptly of suspected unauthorized access.

InnerThera may suspend, restrict, or terminate accounts reasonably believed to be involved in fraudulent or unauthorized activities.

We reserve the right to require additional verification before processing transactions or modifying sensitive account information.

Nothing herein limits statutory protections concerning unauthorized payment transactions or data security.

5. PRODUCTS, PRODUCT INFORMATION, AND REGULATORY DISCLOSURES

InnerThera markets nutritional supplements and related wellness products.

We make reasonable efforts to ensure that product information, ingredients, descriptions, pricing, and specifications are accurate.

Product formulations, packaging, specifications, and availability may change, subject to applicable labeling, advertising, and consumer protection laws.

Descriptions of ingredients, scientific research, or biological mechanisms are provided for general educational purposes unless otherwise expressly indicated.

The availability of scientific literature concerning an ingredient does not establish that a particular finished product has been clinically tested, approved by the FDA, or demonstrated to produce the same results.

References to ingredient research do not constitute guarantees of safety, efficacy, or individual results.

FDA DISCLOSURE

Where applicable to dietary supplement structure/function statements:

These statements have not been evaluated by the Food and Drug Administration. This product is not intended to diagnose, treat, cure, or prevent any disease.

This disclosure does not establish that an ingredient qualifies as a lawful dietary supplement ingredient or that a product satisfies all applicable FDA requirements.

InnerThera makes no representation through these Terms that any ingredient is exempt from applicable regulatory requirements.

Products may not be available in every jurisdiction.

InnerThera reserves the right to discontinue products, restrict sales, or cancel orders where required by law.

6. PURCHASES, PAYMENTS, RECURRING BILLING, AND SUBSCRIPTIONS

Customers agree to provide complete and accurate billing, shipping, and payment information.

All purchases are subject to applicable taxes, shipping charges, product availability, and the pricing disclosed at checkout.

By submitting a purchase, you authorize InnerThera and its payment service providers to process the disclosed charges.

InnerThera may reject or cancel orders for legitimate reasons, including suspected fraud, inventory limitations, pricing errors, or legal restrictions.

Recurring Subscription Authorization

Certain products may be offered through optional recurring subscription programs.

Subscription enrollment requires the customer's affirmative consent to the recurring billing terms presented at enrollment.

Before enrollment, InnerThera will disclose material subscription terms, including the price, billing frequency, automatic renewal conditions, and cancellation procedures, as required by applicable law.

By enrolling, you authorize recurring charges in accordance with those disclosed terms until cancellation.

Subscriptions may be canceled using the online cancellation mechanism provided or other legally required cancellation methods.

Cancellation shall take effect in accordance with the disclosed subscription terms and applicable law.

A one-time purchase does not create a subscription.

Nothing in this Agreement authorizes undisclosed charges, misleading renewal practices, or billing without legally sufficient consent.

Chargebacks and Payment Disputes

Customers are encouraged to contact InnerThera concerning billing questions before initiating a payment dispute.

This provision does not restrict any lawful right to dispute a charge with a financial institution or payment provider.

InnerThera may provide accurate transaction records and relevant evidence in response to payment disputes.

7. RETURNS, REFUNDS, AND CUSTOMER SATISFACTION

All purchases are subject to InnerThera's published Return and Refund Policy.

The policy applicable to a transaction will govern return eligibility, applicable time limits, and refund procedures, subject to mandatory consumer protection laws.

Any voluntary satisfaction guarantee shall be governed by the specific terms disclosed with that guarantee.

InnerThera may investigate suspected fraudulent return activity.

Nothing in this section eliminates statutory refund, warranty, or consumer remedies that cannot lawfully be waived.

8. PROHIBITED ACTIVITIES

Users shall not engage in unauthorized access, data theft, malicious software distribution, fraudulent transactions, identity misrepresentation, intellectual property infringement, or other unlawful conduct.

Prohibited conduct includes attempting to bypass security measures, using automated tools to disrupt operations, harvesting personal information without authorization, or interfering with other customers' use of the Site.

Users may not submit knowingly false statements, impersonate customers, or engage in fraudulent review activity.

InnerThera reserves the right to investigate violations and pursue appropriate remedies.

Nothing in this section prohibits truthful criticism, legitimate product comparisons, lawful competition, regulatory complaints, or protected consumer speech.

9. USER-GENERATED CONTENT

The Site may permit customers to submit reviews, ratings, photographs, testimonials, videos, comments, and other materials (“Contributions”).

Customers represent that they have the necessary rights to submit their Contributions.

Contributions must not knowingly violate applicable law, infringe intellectual property rights, or contain unlawful threats, harassment, or materially false statements.

InnerThera may moderate Contributions for legitimate purposes, including removing spam, fraud, unlawful material, or content violating published review guidelines.

We do not guarantee publication of every Contribution.

10. CONTRIBUTION LICENSE

By voluntarily submitting Contributions for publication, you grant InnerThera a nonexclusive, worldwide, royalty-free, sublicensable license to reproduce, display, distribute, format, and use such Contributions in connection with lawful business operations and marketing.

You retain ownership of your original Contributions.

InnerThera may not use this license to fabricate endorsements, materially alter the meaning of testimonials, falsely attribute statements, or otherwise violate applicable advertising or consumer protection laws.

Any use requiring additional consent shall be subject to obtaining that consent.

11. CUSTOMER REVIEWS, TESTIMONIALS, AND THIRD-PARTY CONTENT

InnerThera may display customer reviews, testimonials, ratings, photographs, and statements collected through its website or independent review platforms.

Customer reviews reflect the individual experiences and opinions of their respective authors.

Such statements are not necessarily representative of the experiences of other customers.

InnerThera does not guarantee that other customers will experience identical or similar results.

Customer testimonials do not constitute medical advice or independently establish the clinical efficacy of any product.

Review Verification

Where a review is designated as “Verified Buyer,” “Verified Purchase,” or similar, the designation shall reflect a substantiated verification process consistent with the applicable platform's records and the representation made to consumers.

A verification designation does not guarantee that a reviewer's subjective statements are medically accurate.

Review Moderation

InnerThera may moderate reviews for spam, fraud, unlawful content, privacy violations, and other legitimate reasons.

Truthful negative reviews will not be suppressed solely because they are unfavorable.

Material connections between reviewers and InnerThera shall be disclosed as required by law.

Third-Party Review Providers

Reviews collected through third-party services may be subject to those providers' terms and verification processes.

InnerThera remains responsible for its own representations concerning reviews displayed on its website.

Nothing in these Terms restricts consumers from submitting truthful reviews, communicating with regulators, or exercising rights protected by the Consumer Review Fairness Act or other applicable laws.

12. SUBMISSIONS AND FEEDBACK

Customers may submit suggestions, ideas, feedback, and recommendations.

Unless otherwise agreed in writing, unsolicited general feedback may be used for lawful business purposes without compensation, subject to applicable confidentiality, intellectual property, and privacy laws.

Submission of feedback does not create a partnership, employment, fiduciary, or agency relationship.

13. SITE MANAGEMENT AND ENFORCEMENT

InnerThera reserves the right to monitor Site operations, investigate suspected fraud, enforce these Terms, restrict unauthorized access, and protect its customers and business systems.

We may cooperate with governmental authorities where legally required or permitted.

We may modify or remove content that violates applicable law or these Terms.

14. PRIVACY POLICY AND DATA PROTECTION

The collection, processing, use, and disclosure of personal information are governed by InnerThera's Privacy Policy and applicable law.

InnerThera may use service providers for payment processing, website hosting, customer support, analytics, subscriptions, order fulfillment, and other lawful business purposes.

Customers retain all nonwaivable privacy and data protection rights.

Acceptance of these Terms does not replace separate consent required for particular processing activities.

15. TERM, TERMINATION, AND SURVIVAL

These Terms remain effective during use of the Site and with respect to applicable transactions.

InnerThera may suspend or terminate access for material violations, suspected fraud, security threats, or other legitimate reasons.

Termination shall not extinguish obligations or rights that accrued before termination.

Provisions concerning intellectual property, dispute resolution, indemnification, limitations of liability, and other provisions intended to survive shall remain effective to the extent permitted by law.

16. MODIFICATIONS, INTERRUPTIONS, AND SERVICE AVAILABILITY

InnerThera reserves the right to modify, update, suspend, or discontinue website features, services, and products.

We do not guarantee uninterrupted access or error-free operation.

Temporary disruptions may result from maintenance, technical failures, cybersecurity events, hosting problems, or circumstances outside our reasonable control.

To the extent permitted by law, InnerThera shall not be liable for losses resulting solely from temporary service interruptions.

Nothing in this provision eliminates liability that cannot legally be excluded.

17. GOVERNING LAW AND EXCLUSIVE JUDICIAL VENUE

This Agreement shall be governed by the substantive laws of the State of Delaware, without regard to its conflict-of-laws rules, except where applicable federal law or mandatory consumer protection laws require otherwise.

The Federal Arbitration Act shall govern the arbitration provisions contained in Section 18 to the extent applicable.

For disputes not subject to arbitration, the parties agree that proceedings shall be brought exclusively in the appropriate state courts of Delaware or the United States District Court for the District of Delaware, provided such courts possess jurisdiction and the forum-selection provision is enforceable.

The parties consent to personal jurisdiction in those courts to the extent permitted by law.

Nothing herein deprives a consumer of mandatory jurisdictional protections or statutory rights that cannot be waived.

18. MANDATORY INDIVIDUAL ARBITRATION, CLASS ACTION WAIVER, AND DISPUTE RESOLUTION

THIS SECTION IS A MATERIAL CONDITION OF THE AGREEMENT BETWEEN YOU AND INNERTHERA.

PLEASE READ CAREFULLY. EXCEPT AS OTHERWISE PROVIDED, YOU AND INNERTHERA AGREE TO RESOLVE COVERED DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN THROUGH COURT LITIGATION.

THIS AGREEMENT ALSO CONTAINS A WAIVER OF CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, AND REPRESENTATIVE PROCEEDINGS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

18.1 Mutual Agreement to Arbitrate

You and InnerThera mutually agree that any dispute, claim, controversy, or cause of action arising out of or relating to this Agreement, the Site, products, purchases, subscriptions, advertising, marketing, product descriptions, customer reviews, warranties, disclosures, communications, or the commercial relationship between the parties shall be resolved through final and binding individual arbitration, except as expressly excluded herein.

Covered disputes include claims arising under contract, tort, statute, regulation, common law, equity, or other legal theories, to the extent such claims may lawfully be arbitrated.

Covered claims may include allegations involving consumer protection, advertising representations, subscriptions, product transactions, and alleged economic losses.

The inclusion of any claim category does not constitute an admission of liability or wrongdoing by InnerThera.

18.2 Federal Arbitration Act

This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16, to the extent applicable.

The parties acknowledge that transactions conducted through the Site may involve interstate commerce.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement, including questions concerning the availability of individual arbitration and enforcement of arbitration awards, subject to applicable law.

18.3 Informal Dispute Resolution

Before initiating arbitration, the party asserting a dispute shall provide written notice identifying the claimant, the transaction or circumstances giving rise to the claim, the factual and legal basis of the dispute, and the relief requested.

Notice to InnerThera shall be sent to the designated legal notice contact in Section 27.

The parties shall attempt to resolve the dispute informally for thirty (30) days after receipt of sufficient notice.

Either party may pursue relief sooner where necessary to preserve legal rights, comply with a limitations period, or obtain emergency relief.

18.4 Binding Individual Arbitration

If informal resolution is unsuccessful, covered disputes shall be resolved through binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules.

If AAA declines administration, the parties shall attempt to agree on another qualified neutral arbitration administrator. If they cannot agree, either party may seek appointment of an arbitrator or administrator by a court of competent jurisdiction as permitted by law.

The arbitration shall proceed on an individual basis.

The arbitrator shall apply applicable substantive law and may award relief available to the individual claimant under that law.

The arbitrator shall issue a reasoned written award if requested in accordance with the applicable rules.

18.5 Express Class Action Waiver

YOU AND INNERTHERA EXPRESSLY AGREE THAT ALL COVERED DISPUTES SHALL BE ASSERTED AND RESOLVED ONLY IN AN INDIVIDUAL CAPACITY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND INNERTHERA WAIVE THE RIGHT TO COMMENCE, MAINTAIN, PARTICIPATE IN, OR SEEK RELIEF THROUGH ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE PROCEEDING INVOLVING COVERED CLAIMS.

NEITHER PARTY SHALL SEEK TO HAVE A COVERED DISPUTE HEARD AS A CLASS ACTION OR CLASS ARBITRATION.

YOU AGREE NOT TO ACT AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN CONNECTION WITH A COVERED DISPUTE TO THE EXTENT SUCH A WAIVER IS LEGALLY ENFORCEABLE.

This waiver applies to covered disputes regardless of whether the underlying claim is based on contract, statute, tort, consumer protection law, or another legal theory, except where such a waiver is prohibited by applicable law.

18.6 Prohibition Against Class Arbitration

The parties expressly agree that arbitration shall be conducted solely on an individual basis.

The arbitrator shall have no authority to:

  • Conduct class-wide arbitration.

  • Consolidate the claims of multiple customers without the parties' express written agreement.

  • Preside over a representative arbitration proceeding.

  • Award relief on behalf of persons who are not parties to the individual arbitration, except where applicable law requires otherwise.

THE PARTIES EXPRESSLY WITHHOLD CONSENT TO CLASS ARBITRATION.

No arbitration rule shall be interpreted as granting authority to conduct class arbitration absent an enforceable agreement expressly authorizing that procedure.

18.7 Waiver of Court and Jury Proceedings

BY ACCEPTING THIS ARBITRATION AGREEMENT, YOU AND INNERTHERA KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO HAVE COVERED DISPUTES DECIDED BY A JUDGE OR JURY IN COURT.

This waiver applies only to disputes subject to enforceable arbitration requirements.

18.8 Arbitration Procedures, Location, and Fees

Arbitration shall proceed under applicable AAA Consumer Arbitration Rules.

Where permitted by those rules and applicable law, arbitration may be conducted through written submissions, telephone, video conference, or other remote procedures.

Delaware shall be the preferred location for any in-person arbitration where legally permissible.

The consumer's rights concerning hearing location, filing fees, administrative fees, and arbitrator compensation shall be governed by applicable arbitration rules and mandatory law.

InnerThera shall pay arbitration costs to the extent required by the applicable consumer arbitration rules or law.

Nothing in this Agreement requires a consumer to bear arbitration costs prohibited by law.

18.9 Delegation of Arbitrability

Except as expressly provided below, the parties agree that the arbitrator shall have authority to determine disputes concerning the interpretation, applicability, scope, or enforceability of this arbitration agreement, to the extent permitted by applicable law.

Notwithstanding the foregoing, disputes concerning the validity, interpretation, or enforceability of the class-action waiver, representative-action waiver, or this delegation provision itself shall be determined by a court of competent jurisdiction.

The parties do not delegate authority to an arbitrator to determine whether class arbitration may proceed contrary to their express agreement.

18.10 Severability and Protection Against Class Arbitration

If any provision of this arbitration agreement is found invalid or unenforceable, the remaining provisions shall remain enforceable to the maximum extent permitted by law, subject to the specific provisions of this subsection.

If the prohibition against class arbitration is held unenforceable with respect to a particular claim or form of relief, and applicable law does not permit the claim to proceed through individual arbitration, that claim or form of relief shall be resolved in a court of competent jurisdiction rather than through class arbitration, unless applicable law requires otherwise.

The parties expressly agree that they have not consented to class-wide arbitration.

The invalidity of a provision concerning one claim shall not automatically invalidate the arbitration agreement as to other claims that may lawfully proceed individually.

18.11 Exceptions to Arbitration

The following matters are excluded from mandatory arbitration to the extent applicable:

Qualifying disputes brought in small-claims court on an individual basis.

Claims for which mandatory predispute arbitration is prohibited by applicable law.

Claims seeking emergency judicial relief to protect intellectual property, confidential information, or other legally recognized interests where such relief is available.

Any additional claims that applicable federal or state law requires to remain outside mandatory arbitration.

Nothing in this Agreement prevents customers from filing complaints with regulatory agencies, cooperating with governmental investigations, or exercising nonwaivable statutory rights.

18.12 Arbitration Opt-Out

A customer may opt out of the arbitration agreement and class-action waiver by submitting written notice within thirty (30) days after first affirmatively accepting these Terms.

The notice must identify the customer, provide the email address associated with the transaction or account, and clearly state the customer's intention to opt out of Section 18.

Notice must be sent to [Insert Dedicated Arbitration Opt-Out Email Address] or the designated legal mailing address in Section 27.

A timely and valid opt-out shall not affect the customer's ability to purchase products or access otherwise available services.

An opt-out applies to Section 18 only and does not invalidate the remaining provisions of these Terms.

For customers who validly opt out, applicable court procedures and law shall govern disputes, including any rights concerning class proceedings.

18.13 Judicial Proceedings

Where arbitration is not required or is unenforceable, any judicial proceeding shall be brought in an appropriate Delaware state or federal court, subject to applicable jurisdictional, venue, and consumer protection requirements.

18.14 Statutes of Limitation

Claims shall be brought within the limitations periods established by applicable law.

No provision of this Agreement shall shorten a legally protected limitations period where such shortening is prohibited.

18.15 Survival

This arbitration agreement shall survive termination of an account, completion of a purchase, cancellation of a subscription, and discontinuation of use of the Site, with respect to disputes governed by a validly accepted version of these Terms.

18.16 Materiality of Agreement

The parties acknowledge that the agreement to arbitrate individually, the class-action waiver, and the prohibition against class arbitration are material provisions of this Agreement.

The parties intend these provisions to be enforced to the maximum extent permitted by applicable law.

19. CORRECTIONS, ERRORS, AND OMISSIONS

The Site may occasionally contain typographical errors, pricing inaccuracies, product description errors, or omissions.

InnerThera reserves the right to correct inaccuracies, update information, and modify product listings.

Where an error affects a completed transaction, the rights and remedies of the parties shall be determined under applicable law and the terms governing that transaction.

InnerThera customer service personnel do not provide individualized medical diagnoses or treatment recommendations through ordinary customer service interactions.

20.6 Product Instructions

Customers should review applicable product labeling, warnings, and instructions.

Customers should not exceed labeled directions unless specifically advised by an appropriately qualified healthcare professional.

Nothing in this provision relieves InnerThera of obligations to provide legally adequate labeling, warnings, or instructions.

20.7 Website Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS INFORMATIONAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

INNERTHERA DISCLAIMS WARRANTIES REGARDING THE UNINTERRUPTED OPERATION OF THE SITE, THE ABSENCE OF TECHNICAL ERRORS, AND THE ACCURACY OF THIRD-PARTY CONTENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

20.8 Nonwaivable Rights

Nothing in this section disclaims or limits responsibility for unlawful conduct, fraudulent misrepresentation, legally defective products, inadequate warnings, or other matters for which liability cannot lawfully be excluded.

21. LIMITATIONS OF LIABILITY AND DAMAGES

21.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INNERTHERA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM CONTRACTUAL WEBSITE SERVICES OR TRANSACTIONS WHERE SUCH DAMAGES MAY LAWFULLY BE EXCLUDED.

Such damages may include lost profits, lost business opportunities, business interruption, or loss of data.

21.2 Contractual Liability Cap

For claims arising solely from ordinary contractual website services or purchase transactions, and excluding claims for which liability cannot lawfully be capped, InnerThera's aggregate liability shall not exceed the greater of:

(A) The amount actually paid by the customer for the specific transaction giving rise to the claim; or

(B) One hundred United States dollars ($100).

This limitation applies only where enforceable under applicable law.

21.3 Excluded Claims

The limitations in this section do not apply to the extent prohibited by law, including where applicable to:

Personal injury or death.

Nonwaivable product liability claims.

Fraud or intentional misconduct.

Statutory consumer protection remedies that cannot be limited.

Other liabilities that applicable law prohibits the parties from excluding or limiting.

21.4 Allocation of Risk

The parties acknowledge that lawful limitations of liability form part of the contractual allocation of risk associated with use of the Site.

The parties intend each limitation to be enforced independently to the maximum extent permitted by applicable law.

21.5 Severability

If a particular limitation is held unenforceable, the remaining lawful limitations shall remain effective to the extent permitted by law.

22. INDEMNIFICATION

To the maximum extent permitted by law, customers agree to defend, indemnify, and hold harmless InnerThera and its officers, directors, employees, agents, and affiliates from third-party claims, losses, liabilities, damages, and reasonable attorneys' fees arising directly from:

Material violations of these Terms.

Fraudulent or unlawful use of the Site.

Infringement of third-party intellectual property rights.

Knowingly unlawful or fraudulent customer-submitted content.

Unauthorized access or other wrongful conduct attributable to the customer.

This indemnification obligation does not apply to claims arising from InnerThera's own negligence, misconduct, unlawful marketing, defective products, or other liabilities that cannot legally be shifted to consumers.

InnerThera reserves the right to assume the defense of a covered claim, subject to applicable law and reasonable cooperation requirements.

23. USER DATA AND RECORDS

InnerThera may maintain customer account information, transaction records, subscription records, and other business data for lawful operational purposes.

The Company may retain records concerning orders, payments, customer communications, and acceptance of applicable contractual terms.

Retention practices shall comply with applicable privacy, data protection, and recordkeeping laws.

Customers remain responsible for maintaining accurate account information.

Nothing in these Terms eliminates InnerThera's legal obligations concerning data security, privacy, or breach notification.

By using the Site and affirmatively accepting these Terms, you consent to conducting applicable transactions electronically.

Electronic communications may include order confirmations, receipts, shipping notifications, account notices, subscription information, and legally required disclosures.

Electronic signatures and records may have the same legal effect as handwritten signatures and paper records under applicable electronic transaction laws.

Where applicable law requires separate consent for electronic disclosures, marketing messages, or recurring charges, InnerThera shall obtain that consent separately.

Consent to receive transactional communications does not automatically constitute consent to receive promotional emails or text messages.

25. CALIFORNIA USERS AND RESIDENTS

California residents retain all applicable rights under California consumer protection and privacy laws.
